PROVIDER REFERRAL AGREEMENT
Acceptance of Agreement. This Provider Referral Agreement (the “Provider Referral Agreement”) sets forth the terms and conditions for your participation in our Provider Referral Program (the “Program”). By participating in the Program, YOU AGREE TO THE TERMS AND CONDITIONS OF THIS REFERRAL AGREEMENT.
Earning Referral Compensation; Qualifications. For every Qualifying Referral (as defined below), we will pay you, based on the signed agreement of the Qualifying Referral, the following:
$1,000 for each new Qualifying Referral License completed in which a Qualifying Referral installs the MINA Reader Software on a monthly licensing agreement basis and maintains the service for at least three (3) consecutive months.
A “Qualifying Referral” means a healthcare services provider (i) that does not currently have, and has never had MINA Reader Software installed at any of its healthcare services locations or sites, and has never utilized the MINA Reader Software, (ii) to whom you refer the MINA Reader Software by submitting our current provider form to us, complete with the referred provider’s name, location, contact name, contact number and contact email address.
A Qualifying Referral may only be made by a “Qualifying Referrer” which shall mean a current provider demonstrating documented and established licensed MINA Reader Software usage for greater than three (3) consecutive months of the date of making a prospective Qualifying Referral, with the sufficiency of such documentation establishing licensed usage being at the sole discretion of WonderHealth, LLC.
A Qualifying Referrer must facilitate an introduction by and among the: (1) Qualifying Referral, (2) Qualifying Referrer, and (3) WonderHealth, LLC, by emailing [referrals@minaapp.com] and providing all contact information of the healthcare services provider. The Qualifying Referral must subscribe for MINA Reader Software services within thirty (30) days of the introduction from the Qualifying Referrer in order for payment to be made hereunder.
We will determine, in our sole discretion, whether a referral submitted by you constitutes a Qualifying Referral in accordance with this Section. Our determination shall be definitive and final.
Restrictions and Limitations. Notwithstanding any provision of this Provider Referral Agreement, we will not be obligated to pay Referral Rewards or honor any benefits if (a) we determine, in our sole discretion, that referrals are not bona fide transactions; (b) the Qualifying Referral does not maintain its account for longer than three (3) consecutive months, or in the case of a lifetime installation, for longer than three (3) consecutive months; (c) you engage in any fraudulent or deceitful behavior in connection with the Program, including without limitation, directly or indirectly offering any person a financial incentive to install our MINA Reader Software or attempting to redirect, or divert Referral Rewards from, any other participant in the Program.
Payment of Referral Rewards. When a Qualifying Referral has installed the MINA Reader Software, we will notify you in writing of the official Referral Reward date. We will pay all Referral Rewards to you within thirty (30) days from the Referral Reward date. To receive payment of Referral Rewards you are required to complete a W-9 tax form at WonderHealth, LLC’s request.
Non-Exclusive. This Provider Referral Agreement is entirely non-exclusive in nature. You understand that we may at any time solicit provider referrals on terms that may differ from those contained in this Referral Agreement with you.
Disclaimer. THE PROGRAM IS PROVIDED ON AN “AS IS” BASIS, AND WE RESERVE THE RIGHT WITHOUT PRIOR NOTICE TO DISCONTINUE OR CHANGE THE PROGRAM AT ANY TIME. WE MAKE NO WARRANTY THAT REFERRAL LINKS WILL OPERATE PROPERLY. WE EXPRESSLY DISCLAIM ALL WARRANTIES WITH RESPECT TO THE PROGRAM, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Termination. Either party may terminate this Provider Referral Agreement at any time by giving the other party written notice of termination (including via email to the other party at the email address provided to the receiving party). Referral Rewards earned but unpaid as of termination will remain payable, unless we terminate this Provider Referral Agreement for your breach of Section 3. Sections 2, 3 (only with respect to amounts accrued but unpaid as of termination), 6 and 7 will survive termination of this Provider Referral Agreement.
